These terms of use (the “Agreement”) govern the use and access of the Greenly Website and App including any content, functionality and services offered on or through www.greenly.ae website or the Greenly app by Greenly LLC (“Greenly”, “Greenly.ae”, “we” or “us”), a company incorporated in United Arab Emirates with its address at Shams Business Center, Sharjah Media City free Zone, Al Messaned, Sharjah, UAE.

This Agreement is entered into between you as the customer and Greenly, where you wish to Greenly’s Website or App to engage service professionals. If you do not agree to accept and bound by this Agreement, you must immediately stop using the Greenly Website and App.

The Parties agree to the following:

This Agreement, along with the Privacy Policy, establishes a legally binding contract between Greenly and the Customer. This Agreement delineates the legal rights and responsibilities of the Customer in relation to their use of the Greenly App and Website.

By utilizing, visiting, registering for, or participating in Greenly Website and App, including availing any services presented on the Greenly Website and App, you affirm the following:

  1. You are a Customer.
  2. You possess the authority to enter into this Agreement.
  3. Upon confirming a booking, you grant authorization for the transfer of payment for requested Professional Services through Greenly Website and App.
  4. You consent to be bound by all the terms and conditions of this Agreement, in addition to any other referenced documents.
  5. You confirm that you are at least 18 years old or have reached the age of majority in your relevant jurisdiction, whichever is greater.
  6. You confirm that you have the full capacity and competence to enter into and adhere to this Agreement.
 

Greenly’s Role and Use of Greenly’s Services

Greenly facilitates Customers in accessing services through the Greenly App and Website. While Greenly operates as a marketplace to facilitate transactions conducted on the Greenly App and/or Website, it is important to note that Greenly is a technology services provider and does not directly provide the Professional Services. The Professional Services are delivered by independent third-party contractors who are not employees of Greenly or any of its affiliates. Any contractual arrangements related to the completion or delivery of services by a Professional are solely between the Customer and the Professional.

By accepting this Agreement, the Customer acknowledges that they are doing so in order to utilize Greenly’s services to connect with Professionals and access Professional Services through the Greenly app and website.

 
Booking
  1. Greenly facilitates connections between Customers in need of specific services and Professionals who offer the requested services.
  2. The Greenly app and website enables Customers to submit requests for Professional Services.
  3. After a booking has been accepted, Greenly may provide the Customer with a booking confirmation through the Greenly App,
  4. While Greenly requests that each Professional make reasonable efforts to arrive before the scheduled service time, if any delay occurs, the Customer should reach out to Greenly ‘s customer care.
  5. The Customer acknowledges that once a booking has been confirmed through the Greenly App, the acceptance and completion of the booking establish an independent contract for Professional Services between the Professional and the Customer.
  6. Greenly may provide the Professional with service location details, the Customer’s mobile phone number and other relevant information to facilitate the provision of Professional Services by the Professional directly to the Customer and for the Professional to identify the Customer.
  7. If the Customer needs to cancel a confirmed booking, they must promptly contact Greenly’s customer care.
  8. The refund of any payments made by the Customer for booking Professional Services will be governed by Greenly’s Cancellation Policy as provided herein.
  9. If the Customer requires assistance with the Greenly App and Website or any Service booking, they should contact Greenly’s customer care or send an email to booking@greenly.ae.
 
Greenly’s Obligations

With the exception of what is explicitly outlined in this Agreement, Greenly’s responsibilities encompass, but are not necessarily confined to, the following:

  1. Overseeing and maintaining the Greenly App and Website
  2. Serving as a marketplace through which Customers can directly engage Professionals for Professional Services.
  3. Providing Customers with a payment summary for the fees paid.
  4. Collecting fees associated with transactions between Professionals and Customers.
 
Payment Terms
  1. The Customer acknowledges that the payment arrangements between the Customer and Greenly will be resolved and processed in accordance with the guidelines specified in the commercial terms.
  2. The Customer designates Greenly as its authorized representative for the purpose of collecting the Fees/Total Fee, recognizing that Greenly does so on behalf of the Professionals and, where applicable, for the amounts owed to Greenly by the Customer.
  3. The Customer hereby grants Greenly the authority to act on its behalf when addressing any payment-related disputes that may arise between the Customer and Professionals. Greenly will, in a commercially reasonable manner, endeavor to resolve such disputes. In the event of such a dispute, at the request of Greenly or independently, the Customer may provide Greenly with any pertinent data and information and grants Greenly the authority to act on behalf of the Customer. Any decision made by Greenly in good faith to resolve such a dispute will be considered final and binding upon the Customer.
 

Acceptance of Services

The Customer agrees that, in booking confirmed through the Greenly App and Website:

  1. It will comply with all Applicable Laws;
  2. It will not engage in any acts of wrongdoing, dishonesty or unethical business practices, including inappropriate behaviour with a Professional;
  3. It will not engage in any false identification, whether by telephone, text (SMS), email or other means;
  4. It will not make any representations, promises, guarantees or warranties on behalf of Greenly.
 

Disputes with Customers
  1. The Customer will collaborate with Greenly if Greenly makes an effort to mediate the resolution of any dispute or complaint between the Customer and a Professional concerning a Service Request.
  2. Greenly bears no responsibility, under any circumstances, to the Customer or any other individual for resolving (or failing to resolve) such matters. Greenly maintains the right to bill the Customer for any payments made to a Professional in connection with any such dispute or complaint, which includes disputes related to the Customer’s behavior or misrepresentation. The Customer agrees to reimburse Greenly for any such payments as well as associated costs, expenses, or attorney fees incurred by Greenly in connection with such disputes.
  3. The Customer acknowledges that Greenly possesses the right to divulge any information retained by Greenly about the Customer to any authorities that request information from Greenly regarding any products, services, or advice that the Customer may have sought.
 

Relationship Between Parties

In this Agreement, Greenly operates as a technology service provider by granting the Customer access to the Greenly App and Website. None of the clauses outlined in this Agreement shall be construed as establishing an employer-employee relationship or an engager-worker relationship between the Customer and Greenly, regardless of the circumstances or purpose.

This Agreement does not give rise to a joint venture or partnership, nor does it designate the Customer as an agent or partner of Greenly. The Customer acknowledges and accepts that the Professionals are not employees of Greenly or its affiliates, nor do they act as agents for Greenly. The provision of Professional Services by the Professionals to the Customer establishes a direct business relationship between the Customer and the Professional. Greenly or Greenly Affiliates are not accountable or liable for the actions or omissions of a Customer in connection with the Customer’s activities.

The Customer agrees not to assume or create any obligation or responsibility, whether expressed or implied, on behalf of or in the name of Greenly or its Affiliates.

 

Governing Law and Dispute Resolution

This Agreement shall be governed in all respects by the laws of the United Arab Emirates and any legal proceeding arising out of this Agreement will occur exclusively in the courts of Sharjah, United Arab Emirates.

 

Refund Policy

Refunds will be processed exclusively through the Original Mode of Payment used for the transaction.
You are eligible for a full refund if you cancel your service booking up to 12 hours before the scheduled start date and time of the service booked. We appreciate your early notice, as it allows us to efficiently manage our Professionals’ schedules.
If you cancel your service booking within 12 hours before the scheduled start date and time, you may be eligible for a partial refund. The specific refund amount will be determined on a case-by-case basis, taking into consideration the circumstances of the cancellation. Please note that our goal is to ensure fairness for both our customers and service providers. Therefore, partial refunds will be based on various factors, including but not limited to the nature of the service, the service provider’s commitment, and any costs incurred by the service provider due to the late cancellation.

To initiate a refund request or inquire about the refund process, please contact our customer care at booking@greenly.ae. We will guide you through the necessary steps to ensure a smooth refund process.

 

Liability
  1. Nothing in this Agreement limits or excludes either Party’s liability for:
    1. Death or personal injury caused by its negligence;
    2. Fraudulent misrepresentation or any other fraudulent act or omission;
    3. Any other liability which cannot lawfully be excluded or limited.
  2. Greenly or Greenly Affiliates shall not be liable (whether from breach of contract, tort (including negligence), breach of statutory duty or otherwise) for any indirect or consequential loss or damages; or theft, loss of profits, revenue, goodwill, anticipated savings, business or opportunity, or loss or corruption of data, even if advised of the possibility of such damages.
  3. Greenly or Greenly Affiliates shall take reasonable measures to safeguard Customers against unauthorized use. Greenly or Greenly Affiliates will additionally not be held liable for the actions of third parties whose actions it does not have control over.
  4. The Customer agrees that it is solely liable for any accidents, incidents, and issues attributable to the condition of the premises where the Professional Services are sought; and breach of any Applicable Laws. Greenly will not be liable for any such accidents, incidents, issues, breaches, costs, and expenses. Each Customer should exercise caution and common sense to protect their personal safety and property, just as a reasonable person would when interacting with any person they do not know.

Greenly may collect information which may include (but not be limited to) the following:

1. Name

2. Phone Number

3. City

 

Commercial Terms

Greenly reserves the right, at its sole discretion, to impose Fees on Customers for their use of the Greenly App and website, viewing posted Services, or any other services that Greenly may introduce in the future.

The Customer acknowledges and comprehends that Greenly may offer various incentives, and these incentives may be based on different criteria, each with its distinct advantages.

The Customer may be obligated to remit a specified amount to Greenly for the use of the platform, as outlined in this Agreement, and such amounts will be communicated to the Customer periodically.

Greenly retains the right to modify the rates and payment terms governing the relationship between the Customer and Greenly, or between the Customer and the Professional. Any such changes will be conveyed to the Customer at regular intervals. If the Customer does not consent to or agree with these alterations, they may contact Greenly as described herein or choose not to avail themselves of Professional Services.

Following any Settlement that the Customer is required to make with Greenly under the terms of this Agreement, whether it pertains to a breach of this Agreement or any other reason (“Settlement”), Greenly will furnish the Customer with a report detailing the amounts owed and the reasons for such obligations. The Customer is required to remit the specified Settlement amounts to Greenly within 7 days from the date of the Settlement details issuance. Should the Customer fail or decline to make payment within this timeframe, Greenly reserves the right, without needing to consult the Customer, to demand payment of the Settlement amount, which will be payable upon Greenly’s request.

 

Amendments to this Agreement

We reserve the right, at our sole and absolute discretion, to change, modify, append, supplement, or remove any of the terms and conditions of this Agreement and/or the Privacy Policy or other relevant policies/terms issued by Greenly. These changes may pertain to the entire agreement or be specific to a particular service or benefit, and they can be implemented at any time, with or without prior notice. If you find any future alterations to this Agreement unacceptable or if they result in your non-compliance with this Agreement, it is imperative that you terminate your usage of the Greenly App and website immediately. Your continued use of the Greenly App and Website following any modifications to this Agreement signifies your complete and irreversible acceptance of all such changes.
